Terms of Service

1. Who We Are

California Business Services is a trade name and service of Freedom Trading, LLC, a California limited liability company (“Company,” “we,” “us,” or “our”). References to “California Business Services” in these Terms mean Freedom Trading, LLC. You can reach us at info@californiabizservices.com or (559) 549-4717.

2. Acceptance of These Terms

By accessing this website, submitting an order form, or paying for any service, you agree to these Terms of Service and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the site or order services. You must be at least 18 years old and legally able to enter contracts. If you order on behalf of an entity or other persons (for example, co-members of an LLC), you represent that you are authorized to do so and to provide their information.

3. Nature of Services (Administrative, Not Legal)

We prepare and submit business formation and compliance documents to the California Secretary of State, the Internal Revenue Service, and other agencies based solely on the information you provide. Our work is administrative and clerical. We do not select your entity type for you, evaluate whether an entity is appropriate, review your situation for legal sufficiency, or advise on tax, employment, licensing, securities, immigration, intellectual property, or regulatory matters. We do not act as your agent for any purpose other than the specific filings you authorize.

4. Packages, Fees, and State Fees

Current formation packages are Foundation ($239), Operator ($439), and Complete ($739), each stated exclusive of, or as itemized alongside, required California state filing fees. State and federal agency fees are set by those agencies, are collected on their behalf or paid directly by you, and are non-refundable once submitted. Prices, package contents, and third-party fees may change at any time; the price shown at checkout governs your order. Payments are processed by our third-party payment processor. We do not store full card numbers.

5. Annual Compliance Plan and Automatic Renewal

Formation packages include first-year registered agent service, initial Statement of Information filing, and compliance tracking. After the first year, our annual compliance plan is $94 per year (registered agent service $59 plus Statement of Information service $35, exclusive of any state fee). If you enroll in the annual plan, it renews automatically each year at the then-current price using your payment method on file until you cancel. We will send a renewal reminder before each charge to the email address on your account.

You may cancel at any time, and cancellation takes effect at the end of the then-current paid term. To cancel, email info@californiabizservices.com or call (559) 549-4717 with your business name. Cancelling registered agent service does not remove your obligation to designate a registered agent with the State of California; you are responsible for appointing a replacement.

6. Formation Documents and Operating Agreements

Where included, we prepare standard-form documents — such as Articles of Organization, an operating agreement, organizational resolutions, and a banking resolution — populated with the ownership, management, and contact information you supply. These are document-preparation products, not legal advice, and are not customized, negotiated, or reviewed for your specific circumstances, tax position, creditor exposure, or member disputes. You are responsible for reading each document, confirming it reflects the actual agreement among the members, and consulting an attorney if you have questions before signing or relying on it.

7. EIN Applications

Where included, we prepare and submit an Employer Identification Number application to the IRS using information you provide, and you authorize us to act as third-party designee for the limited purpose of applying for and receiving the EIN. We do not guarantee approval, timing, or a particular EIN, and we are not responsible for IRS rejections, delays, or errors caused by information you supply. Certain applications require a responsible party's Social Security number or ITIN; if you decline to provide it, we cannot complete the EIN portion of your order.

8. Registered Agent Service Provided by a Third Party

Registered agent service is fulfilled by an independent third-party registered agent, not by us. By ordering, you authorize us to disclose your entity name, addresses, and contact information to that provider so it can accept service of process and official mail. We do not control and are not responsible for the third party's acts or omissions, including forwarding delays, misdelivery, or failure to notify you of legal mail. You agree to keep your contact information current with both us and the provider.

9. Your Responsibilities

You are responsible for: the accuracy and legality of all information you submit; reviewing every document and filing before and after submission; responding promptly to our requests for information; obtaining any required business licenses, permits, seller's permits, or industry approvals; filing your own tax returns and paying the California LLC annual tax and fees; and maintaining your entity's good standing. You agree not to use our services for any unlawful purpose, and you authorize us to submit filings on your behalf based on the information you supply.

10. No Attorney-Client or Fiduciary Relationship

No attorney-client, accountant-client, or fiduciary relationship is created by using this website, communicating with us, or purchasing services. Communications with us are not protected by attorney-client privilege and may be disclosed if legally required. Nothing on this site or in any document we deliver is legal or tax advice, and no outcome is promised or guaranteed.

11. Disclaimer of Warranties

Except where prohibited by law, all services, documents, and content are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or completeness. We do not warrant uninterrupted or error-free operation of this website or that any filing will be accepted by any agency within any timeframe.

12. Limitation of Liability

To the fullest extent permitted by law, neither Freedom Trading, LLC nor its members, officers, employees, contractors, or service providers is liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost business, lost data, tax penalties, missed deadlines, rejected or delayed agency filings, third-party conduct, or the legal or tax consequences of your chosen entity type, ownership terms, or management structure. Our total aggregate liability for any claim is limited to the service fees you actually paid us for the specific service at issue, excluding government fees and third-party charges. Some jurisdictions do not allow certain limitations; in that case the limitation applies to the maximum extent permitted. Nothing in these Terms limits liability for fraud or for any liability that cannot lawfully be limited.

13. Indemnification

You agree to indemnify, defend, and hold harmless Freedom Trading, LLC and its members, employees, contractors, and service providers from and against any claims, demands, losses, liabilities, penalties, costs, and reasonable attorneys' fees arising out of or related to: information you supplied; documents you approved; your business activities; your failure to obtain required licenses or make required filings; your breach of these Terms; or any dispute among your members, managers, investors, or creditors.

14. Refunds and Cancellations

Government filing fees and third-party fees are non-refundable once submitted. If you cancel before we submit a filing or begin substantive preparation, we will refund our service fee for the unstarted work. Once preparation has begun, fees are refundable only at our discretion and on a pro-rata basis for work not performed. Approved refunds are issued to the original payment method. Chargebacks initiated without first contacting us may result in suspension of services. Send refund and cancellation requests to info@californiabizservices.com.

15. Electronic Communications and Consent

You consent to receive account, order, filing, compliance, and renewal communications electronically at the email address you provide, and you agree that electronic signatures, records, and approvals are valid and enforceable. Transactional messages are not marketing; you may unsubscribe from marketing email at any time using the link in those messages. If you provide a phone number, you consent to service-related calls and texts about your order; message and data rates may apply, and consent to marketing texts is not a condition of purchase.

16. Intellectual Property

The site, its content, branding, logos, and templates are owned by Freedom Trading, LLC or its licensors. You receive a limited, non-transferable license to use documents we prepare for your own business purposes. You may not resell, redistribute, scrape, or create derivative commercial products from our templates or content.

17. Third-Party Services and Links

We may reference or link to third parties, including our payment processor, registered agent provider, accounting professionals, and financing partners such as CABizCapital. We do not control those parties, do not guarantee their services, and are not responsible for their acts, omissions, terms, or decisions. Financing referrals are not offers of credit; any financing is subject to third-party underwriting, eligibility, and approval.

18. Suspension and Termination

We may decline, suspend, or terminate service — with a refund of fees for work not performed — if you provide false or incomplete information, if we suspect fraud or unlawful activity, if we cannot verify identity, or if continuing would require us to give legal advice or act outside the scope of our services.

19. Governing Law, Venue, and Dispute Resolution

These Terms are governed by the laws of the State of California without regard to conflict-of-laws rules. Before filing any action, you agree to contact us at info@californiabizservices.com and attempt to resolve the dispute informally for 30 days. Any dispute that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Fresno County, California, and you and we consent to personal jurisdiction and venue there. To the extent permitted by law, each party waives any right to bring or participate in a class or representative action. Claims must be brought within one year after the claim arises, except where a longer period is required by law. Nothing here prevents either party from seeking relief in small claims court.

20. Changes to These Terms

We may update these Terms; the “Last updated” date will change and material changes will apply prospectively. Your continued use of the site or services after an update constitutes acceptance. The Terms in effect at the time of your order govern that order.

21. Miscellaneous

These Terms, together with your order confirmation and the Privacy Policy, are the entire agreement between us. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights without our consent; we may assign ours in connection with a merger or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control, including agency backlogs, outages, or natural disasters.
